Capital structured
for complexity.
Rothstein Capital Management advises founders, sponsors, corporate groups and asset owners on raising capital, structuring transactions and executing across borders.
Capital Raising and
Transaction Architecture.
Rothstein Capital Management is an independent advisory firm focused on capital raising, transaction architecture and cross-border execution.
We work with founders, sponsors, corporate groups and asset owners on transactions where capital, structure and execution need to be addressed together.
Our mandates span growth capital, structured financing, acquisitions, recapitalizations, joint ventures and complex cross-border transactions.
Who We Work With
- Founders and entrepreneurial groups
- Sponsors and investment firms
- Corporate groups
- Asset owners
- Family offices
- Institutional and professional counterparties
We are typically engaged where the transaction requires more than a standard financing process or a simple capital introduction.
Rothstein is built for transactions where capital, structure and execution cannot be treated separately.
Operating Principles
Structure Precedes Execution
Legal form, governance, and cash-flow route are designed before a transaction is executed. Changing these decisions after closing costs more than getting them right first.
Cross-Border by Method
Most mandates involve two or more jurisdictions. Treaties, corporate law, and tax rules are read together as one system, so the structure holds in every jurisdiction it touches.
Written Opinions
Every recommendation is delivered as a written, reasoned document based on primary sources: statutes, treaties, case law. Clients can challenge it, audit it, and archive it.
Discretion
The firm does not publish client names or transaction details. Confidentiality is part of the service, not a marketing posture.
Five Disciplines.
One Standard.
The firm advises in five areas. Most mandates touch more than one. Requests outside these areas are declined or routed to a specialist firm.
Capital Raising & Structured Capital
We advise on the structuring and execution of equity, debt and hybrid capital raises.
Mandates may include growth capital, acquisition capital, recapitalizations, private credit and bespoke financing solutions.
Our role extends from defining the capital requirement and transaction structure to positioning the opportunity and coordinating execution with appropriate counterparties.
Cross-Border M&A
Advisory on acquisitions, disposals, joint ventures and strategic transactions involving multiple jurisdictions.
We support transaction architecture, counterparties, negotiation processes and execution across complex ownership and jurisdictional structures.
Acquisition & Transaction Finance
We structure financing solutions for acquisitions, growth initiatives, refinancing and strategic transactions.
Depending on the mandate, capital may include senior debt, private credit, structured debt, equity or hybrid instruments.
Special Situations
Advisory on complex financing and capital situations requiring bespoke structuring.
Mandates may include refinancing, recapitalization, distressed situations, asset-backed transactions and situations where conventional financing structures are insufficient.
Private Equity & SPV Structuring
Structuring of investment vehicles, holding companies, SPVs, co-investment structures and transaction-specific ownership arrangements.
The objective is to align legal, economic and capital considerations before execution. Cross-border tax considerations may be integrated into transaction architecture where relevant, alongside legal and financial structuring.
Requests outside these five areas are reviewed case by case, and taken on only where closer review shows they in fact belong to one of the disciplines above.
Where Capital Meets the Transaction
Capital is only useful when the underlying transaction is structured to absorb it.
Rothstein works from the transaction backwards.
We assess the business, asset or opportunity, define the capital requirement, develop the structure, position the transaction and engage the appropriate counterparties.
The objective is not access alone.
The objective is execution.
Typical Transaction Parameters
Typical mandates range from approximately $10 million to $100 million+, depending on transaction type, jurisdiction, complexity and capital structure. Selected mandates may fall outside these ranges.
Identifiable.
Verifiable.
Institutional Standing
The firm is entered in the Global LEI System, the identity standard required of entities operating in institutional financial markets. The identifier above is live and verifiable with the Global Legal Entity Identifier Foundation and its partners, including Bloomberg. Institutional counterparties can therefore complete due diligence on the entity before the first conversation, not after.
Compliance is treated as part of the product, not as overhead. Engagements are documented, intercompany arrangements are benchmarked at arm's length, and the firm's advisory posture is maintained within the boundaries of Italian and European regulation. Where a mandate requires licenses the firm does not hold, the mandate is declined or routed — never improvised.
Full regulatory disclosures are available in the Regulatory section, and the firm's legal notices in the Legal overview.
A structure is a set of legal decisions. We make them early, put them in writing, and make them defensible.
Advisory work fails in a predictable way: the transaction is designed first and the structure is assembled after. Our work begins earlier. Form, governance, tax route, and creditor position are decided before execution, documented, and stress-tested.
Mandates typically involve two or more jurisdictions, several counterparties, and fixed deadlines. The work is detailed and largely invisible: review of statutes and treaties, written opinions, coordination with notaries, counsel, and lenders in each jurisdiction involved.
Rothstein does not publish client-specific research or transaction commentary. Selected market perspectives may be published by senior professionals on matters relevant to capital, transactions and cross-border markets. Attention goes to the mandates.
The mandate ends when the structure holds up under the conditions it was designed for, and not before.
Direct Execution.
Written Opinions.
Mandates are executed directly by senior professionals. There is no layered account management: the person who designs the structure is the person who presents it and answers for it.
Recommendations are built on primary sources — statutes, treaties, case law — and delivered in writing, in advance, where they can be challenged. Intercompany arrangements are benchmarked at arm's length and documented.
The firm's size is a choice. It is small by design, and connected enough to execute across jurisdictions through counsel, notaries, and lenders in each market involved.
We Do Not Sell Introductions
Our role is to help make a transaction investible, financeable and executable. That means understanding the underlying situation, defining the capital requirement, developing the appropriate structure and coordinating the process through execution.
Capital relationships are part of the process, not the product.
Analysis Before Access
Nothing is recommended because it is available. Every position is derived from first principles, documented, and stress-tested before it reaches a client's desk.
Depth in Five Disciplines
Work is concentrated in five areas rather than spread across many. The firm accepts the mandates it can execute fully and declines the rest.
Governance in the Background
Documentation, compliance, and counterparty protection operate continuously in the background — the least visible part of the work, and by design the most exacting.
Accountability, Not Deliverables
We do not measure success in pages produced. The mandate ends when the structure performs in the conditions it was built for — and not before.

We do not simply circulate opportunities to capital providers.
We work with the client to define the financing requirement, structure the transaction, position the opportunity and coordinate engagement with appropriate counterparties.
The objective is to build a transaction that can be diligenced, negotiated and executed.
Typical Transaction Size.
$10M to $50M+ for core capital raising mandates, with larger transactions considered depending on complexity and structure. Selected mandates may fall outside these ranges.
How We Engage.
Mandates may be structured on a retainer, fixed-fee, success-linked or hybrid basis depending on scope and execution requirements.
Retainers apply where the mandate requires an ongoing advisory and execution process, including transaction analysis, capital strategy, structuring, positioning, counterparty engagement and coordination.
The commercial structure follows the work required to execute the mandate.
